Blockchain Securities Platform tZERO Agrees $350 Million SPAC Merger, Targets NYSE American Listing in 2027 #
tZERO Group, Inc., a financial technology company that provides tokenization infrastructure for financial markets, has agreed to merge with Nasdaq-listed blank-check company FG Imperii Acquisition Corp. The deal values tZERO at $350 million before the transaction closes, with up to $25 million of that figure tied to the achievement of specified performance milestones.
The companies signed a definitive business combination agreement on November 2, with both boards voting unanimously to approve the transaction. The deal is expected to close in early 2027, subject to shareholder votes and regulatory approval.
The combined company plans to list on NYSE American under the ticker symbol “TZRO.” FG Imperii’s trust account could provide up to approximately $231 million in cash to the merged entity, depending on redemptions by the SPAC’s existing public shareholders and transaction-related expenses. FG Imperii has also agreed to a forward purchase arrangement with FG Merchant Partners LP, an affiliate of Fundamental Global and one of FG Imperii’s co-leads, covering up to 2.5 million shares.
Founded in 2014, tZERO describes itself as offering regulated Infrastructure-as-a-Service solutions that allow institutional clients to launch tokenized products under their own brands while maintaining control of their customer relationships. CEO Alan Konevsky, who is expected to remain in the role after the merger closes, told CoinDesk that global and domestic institutions are actively seeking platforms that can serve as compliant back-end infrastructure for digital asset offerings.
FG Imperii was structured to combine the SPAC execution experience of the Fundamental Global team with the digital asset capital markets expertise of Imperii Partners. Tony Scuderi, President of FG Imperii and founder of Imperii Partners, said in the joint announcement that tokenization is increasingly a “practical component” of institutional financial infrastructure, citing growing demand for regulated platforms that can bridge assets, investors, and liquidity.
tZERO said it will also explore on-chain trading and custody as additional growth areas. The company has existing ties to traditional capital markets: ICE, the parent company of the New York Stock Exchange, had previously invested in the firm.
Banks, custodians, and market infrastructure firms have been moving to offer tokenized versions of asset classes including government bonds and money market funds. A public listing would give tZERO additional capital to compete in that market.
