Zafin Pays Nine Figures for Naehas in First Major Deal Since Nordic Capital Takeover #

Toronto-based banking software provider Zafin has signed a definitive agreement to acquire Naehas, a Palo Alto, California firm that supplies offer management, disclosure automation, and marketing compliance technology to US financial institutions. The deal was announced October 26 and is the company’s first significant acquisition since Swedish private equity firm Nordic Capital took a majority stake in Zafin in 2024.

According to reporting by BetaKit, the purchase price is a nine-figure sum in US dollars, structured as a mix of equity and cash partially funded by a line of credit, though the precise figure has not been publicly disclosed. Naehas employs roughly 250 people and generates between US$30 million and US$50 million in annual recurring revenue, according to The Globe and Mail.

Naehas builds software that helps banks design and deliver personalized digital marketing offers to customers while staying within regulatory boundaries. Its platform covers the full lifecycle of regulated customer communications, from content creation and disclosure documentation through internal approval workflows and delivery. Institutions can coordinate marketing and compliance obligations within a single system.

Zafin CEO Charbel Safadi, who assumed leadership after founder Al Karim Somji stepped back following the Nordic Capital transaction, described the deal as adding a “fourth pillar” to Zafin’s strategy and said it would meaningfully expand the company’s addressable market. Once the acquisition closes, Zafin expects to have 16 of the top 20 US banks as customers, a figure Safadi highlighted in an interview with The Globe and Mail.

The purchase would bring Naehas’s capabilities alongside Zafin’s existing AI-powered product suite: AIOS, an agentic orchestration platform for governed AI workflows; the Zafin Banking Platform, covering products, pricing, billing, and loyalty; and Zafin IO, an enterprise integration layer. According to the company’s announcement, the combined offering is intended to serve banks that need to coordinate product management, marketing, and compliance in an AI-driven environment, with potential expansion into other regulated industries over time.

Zafin has reportedly more than doubled its revenues since the Nordic Capital takeover. The deal is expected to close in the fourth quarter of 2026, pending customary regulatory approvals and closing conditions, with both firms continuing to operate independently until then.
