LSEG Signs $3.54 Billion Deal for Credit Intelligence Firm Octus in Its Largest Acquisition in Seven Years #

London Stock Exchange Group has agreed to acquire New York-based credit intelligence provider Octus for $3.535 billion in cash, its largest deal since the Refinitiv purchase in 2019, as it moves to strengthen its position in public and private credit data and analytics.

The transaction, announced on 22 October alongside LSEG’s stronger-than-expected third-quarter results, will see Permira-advised funds and company management, including Octus founder Kent Collier, transfer control of the business to LSEG. Collier is expected to remain with the firm after completion. The deal is structured as an all-cash transaction funded through external debt and is subject to regulatory approvals, with closing targeted in the first half of 2027.

Founded in 2013 as Reorg before rebranding to Octus, the company focuses on leveraged finance, distressed debt restructuring and private credit intelligence. Its team of journalists, legal experts and analysts tracks credit markets, with a particular focus on financially stressed companies, providing structured, searchable data and workflow tools to banks, hedge funds and institutional investors. Octus is expected to generate more than $300 million in revenue in 2026, placing the deal’s implied multiple at roughly twelve times annual sales.

LSEG said the acquisition would bring Octus’s capabilities into its Data & Analytics division, where they will be combined with existing fixed-income products including Workspace, LPC, Yield Book and its stake in Tradeweb. The combination is intended to give clients a more unified set of tools for sourcing deals, assessing risk and managing credit portfolios across both liquid and illiquid markets.

The deal also carries a defensive rationale. LSEG has faced growing investor questions about whether artificial intelligence will erode the value of conventional market data subscriptions. By acquiring Octus, the group is betting that proprietary credit intelligence, gathered through human expertise and relationships rather than publicly available text, is the kind of content that AI models cannot easily substitute. LSEG is forecasting that the deal will be broadly earnings-neutral in its first full year following completion.

The announcement came alongside an upgraded full-year outlook for 2026, driven by accelerating subscription growth and strong performance in its Markets division. Group organic income rose 8.8 per cent in the third quarter, with subscriptions up 6.6 per cent. LSEG also issued preliminary organic subscription revenue growth guidance of around 7 per cent for 2027, while maintaining its medium-term target of increasing underlying EBITDA margin by a cumulative approximately 150 basis points over the 2027 to 2029 period relative to the 2026 baseline.
