ACI Worldwide, the Nasdaq-listed payments software provider, is weighing a sale of its billing division and has begun working with investment bankers to gauge buyer interest, according to three sources familiar with the matter cited by Reuters.
The unit, known internally as the Biller segment, could be valued at approximately $1.5 billion, representing roughly 10 to 12 times its 2025 adjusted earnings before interest, taxes, depreciation and amortisation. The division posted revenue of around $818 million and adjusted EBITDA of $141 million last year.
The Biller segment provides technology that enables companies to send electronic bills and collect payments digitally. Its clients include government agencies, healthcare providers, insurers, telecommunications operators and utilities, sectors where switching costs tend to be high and revenue streams are typically recurring.
ACI has already started early conversations with prospective buyers, with private equity firms among those being approached. The process is described as preliminary, and sources cautioned that discussions may not lead to a transaction.
The potential sale follows a restructuring of ACI’s reporting structure in 2025, when the company folded its banking and merchant businesses into a unified Payment Software segment. The Biller operation was kept as a separate division at that point.
ACI’s CEO Thomas Warsop has consistently highlighted the Biller segment’s performance. In its full-year 2025 results, the company reported 13% revenue growth for the unit, with management describing the business as deeply embedded in customers’ complex, highly regulated workflows.
Deal activity in payments software has been strong, with investor appetite for recurring-revenue technology businesses driving acquisitions across the sector. ACI has sold assets before, including its corporate online banking solutions, which it divested to One Equity Partners in 2022 for $100 million.
ACI Worldwide had not publicly commented on the reported sale process at the time of publication.
